These Terms of Service (the “Terms”) form a binding agreement between you and Tourismo LLC, the operator of GMC Shield. By creating an account, submitting a website URL for analysis, purchasing any plan, or otherwise using the Service, you accept these Terms in full.
1. Who We Are
GMC Shield (the “Service”) is operated by Tourismo LLC, a limited liability company organized under the laws of the State of New Mexico, USA, business registration number 0008010424, with its registered office at 2105 Vista Oeste NW, Suite E #3758, Albuquerque, NM 87120, USA (“we”, “us”, “our”, or the “Company”).

2. Definitions
- Service: the GMC Shield software-as-a-service platform accessible at gmc-shield.com, including the audit, the AI-generated appeal letter, the action plan, the monitoring subscription, and any tools or content provided by us.
- Audit: the automated analysis of a publicly accessible e-commerce storefront performed by our nine AI agents and Synthesizer.
- Output: the audit report, risk score, appeal letter, prioritized action plan, and any other AI-generated content produced for your Audit.
- You or Customer: the individual or legal entity that accesses or uses the Service.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract. By accepting these Terms, you represent that you meet these conditions.
The Service is designed primarily for e-commerce merchants and digital agencies. We do not knowingly collect any information from minors.
4. The Service
We offer the following paid tiers:
- Audit (one-time, 29 EUR) — a single full audit of one storefront by our nine AI agents and Synthesizer, including a downloadable PDF report, an AI-generated appeal letter ready to submit to Google, a prioritized action plan, and one free re-scan within 30 days of purchase.
- Monitoring (49 EUR per month) — recurring monthly audit of one storefront with continuous compliance tracking and alerts.
- Volume Packs (3, 5, or 10 audits) — prepaid bundles of Audits usable across multiple storefronts within 12 months of purchase.
- Agency Pack — white-label dashboard with up to 20 audits per month, branded PDF reports, and API access. Pricing available upon request.
The Service is provided remotely via the public internet and is accessed through a modern web browser. We do not require you to install any software.
5. Pricing & Payment
Prices are displayed in Euros (EUR) and are exclusive of any sales tax or value-added tax (VAT) that may apply based on your jurisdiction. Where required, applicable taxes will be calculated and added at checkout.
Payments are processed by Stripe, Inc. We do not store your full payment card details. By making a purchase, you authorize Stripe to charge the payment method you provide for the amount stated.
For the Monitoring tier, the subscription renews automatically each month until you cancel it. You may cancel at any time by contacting contact@gmc-shield.com or through your Stripe customer portal if available. Cancellation takes effect at the end of the current billing period.
6. Satisfaction Guarantee & Refunds
We offer a 7-day satisfaction guarantee on one-time Audits and Volume Packs. If you are not satisfied with the quality of your Audit, contact us within seven (7) calendar days of purchase at contact@gmc-shield.com with your order reference. We will refund the purchase price via Stripe within ten (10) business days.
Monthly Monitoring fees already billed for the current period are non-refundable unless we are materially unable to deliver the Service. Refunds for Agency Pack purchases are handled per the separate agency agreement.

7. AI Disclaimer
The Service is powered by large language models and other artificial-intelligence systems, including but not limited to models accessed through OpenRouter and Anthropic. While we use best efforts — including chain-of-thought reasoning, a Synthesizer validation pass, and multi-agent cross-checks — AI-generated Outputs may contain errors, omissions, or be out of date relative to the latest Google Merchant Center policies.
The Audit is informational only and does not constitute legal, tax, financial, or professional advice. We do not guarantee any specific outcome with Google, including but not limited to the reinstatement of a suspended Merchant Center account. You remain solely responsible for reviewing the Audit and the appeal letter before relying on them or submitting them to any third party.
8. Intellectual Property
The Service, including all software, design, written content, the multi-agent AI architecture, the scoring methodology, the report format, the appeal letter template, brand names, and logos, is the exclusive property of Tourismo LLC and is protected by United States and international intellectual property laws.
License granted to you over the Output. Subject to your full compliance with these Terms, we grant you a perpetual, non-exclusive, worldwide, royalty-free license to use, copy, modify, and adapt the Output of your Audit (the report, action plan, and appeal letter) for your own business purposes, including submitting the appeal letter to Google. The license does not extend to the underlying AI models, the scoring algorithm, or the report template, which remain the property of the Company.
License granted to us over your submitted URL. By submitting a storefront URL, you grant us a limited, non-exclusive, non-transferable, worldwide license to access, crawl, fetch, and analyze the publicly accessible content of that URL for the sole purpose of generating your Audit. We do not use your data, your URL, or your storefront content to train our AI models.
9. Acceptable Use
You agree that you will not:
- submit a URL that you do not own or are not authorized by the owner to audit;
- use the Service to develop or improve a competing product, service, or AI model;
- reverse engineer, decompile, or attempt to extract the source code, scoring rules, prompts, or trained weights of the Service;
- scrape, harvest, or otherwise programmatically extract data from the Service except through the Agency Pack API where expressly permitted;
- use the Service to perform any activity that is illegal, harmful, defamatory, infringing, or otherwise inappropriate;
- overload our infrastructure, attempt to circumvent rate limits, or otherwise interfere with the operation of the Service;
- share, resell, or otherwise transfer your access to the Service to third parties without our prior written consent.
10. Third-Party Services
The Service relies on the following third-party providers, each subject to their own terms and privacy policies:
- Cloudflare, Inc. — global content delivery network and Workers runtime hosting the Site;
- Supabase, Inc. — database and Edge Functions hosted in Frankfurt, Germany (European Union);
- Stripe, Inc. — payment processing;
- Resend, Inc. — transactional email delivery;
- OpenRouter and Anthropic PBC — large language model inference for the AI agents;
- Browserless — optional dynamic rendering of single-page storefronts;
- rdap.org — public WHOIS / RDAP lookups for domain age data.
We are not responsible for the availability, performance, or actions of these third-party providers, except to the extent that we are contractually bound to rely on them for the operation of the Service.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, REPUTATION, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHATEVER THE LEGAL BASIS, IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY EUROS (50 EUR).
13. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, members, employees, and agents from any claim, demand, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of the Service, (c) your violation of any law or third-party right, including submitting a URL you are not authorized to audit, or (d) the actual or alleged infringement by any of the inputs you provide.
14. Suspension & Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if (a) you breach these Terms, (b) we reasonably believe your use creates a risk to us, the Service, or other customers, or (c) we are required to do so by law. Termination does not entitle you to a refund except as expressly stated in Section 6.
Sections that by their nature should survive termination, including but not limited to Sections 7, 8, 11, 12, 13, 15, and 17, will survive.
15. Governing Law & Venue
These Terms are governed by the laws of the State of New Mexico, United States of America, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Bernalillo County, New Mexico, USA, and you consent to personal jurisdiction in those courts.
If you are a consumer resident in the European Union or the United Kingdom, nothing in this Section deprives you of the mandatory consumer protections of your country of residence, including the right to bring proceedings in the courts of your domicile.
16. Dispute Resolution
Before commencing any formal legal action, the parties agree to attempt in good faith to resolve any dispute informally by sending a written notice to contact@gmc-shield.com with a clear description of the claim. If the dispute is not resolved within thirty (30) days, either party may pursue formal proceedings as set forth in Section 15.
Class action waiver. To the maximum extent permitted by law, you agree that any dispute will be brought solely on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
17. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent version. Material changes will be notified to you by email or via a prominent notice on gmc-shield.com at least fifteen (15) days before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
18. Miscellaneous
These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
